Terms of use

1. Acceptance of terms

By accessing or using Circulab (the "Platform"), you agree to comply with and be bound by these Terms of Use (the "Terms"). If you do not agree to these Terms, you should not use the Platform.

These Terms apply to all users of the Platform, including contributors of content and visitors. By using the Platform, you represent that you are at least 16 years old or have the consent of a parent or legal guardian.

2. The platform

Circulab is a participatory mapping platform dedicated to identifying, sharing, and valuing underutilised or wasted urban resources for agroecology, circularity, and community benefit. The Platform relies on user-generated content to build a collaborative resource for the community.

3. User accounts & responsibilities

3.1 Account creation

To contribute to the Platform, you must create a user account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

3.2 Account security

You are responsible for safeguarding your account credentials, including your password. You agree not to disclose your password to any third party and to take sole responsibility for any activities or actions under your account, whether or not you have authorised such activities or actions. You must immediately notify Circulab of any unauthorised use of your account.

3.3 User responsibility

You are solely responsible for all content that you post, upload, or otherwise make available on the Platform ("User Content"). You affirm that you have all necessary rights and permissions to share such content.

4. Participatory & responsible use

Circulab is a collaborative community map. When submitting information about resources, workshops, or any other content, you commit to:

• Providing accurate, truthful, and respectful information
• Aligning with the values of sustainability, agroecology, and circularity
• Not posting content that is defamatory, offensive, discriminatory, or harmful
• Not infringing on the privacy, intellectual property, or other rights of any third party

Prohibited uses

You agree not to use the Platform to:

• Upload, post, or transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or invasive of another's privacy
• Impersonate any person or entity or falsely state or misrepresent your affiliation with a person or entity
• Upload, post, or transmit any content that you do not have a right to make available under any law or under contractual or fiduciary relationships
• Upload, post, or transmit any unsolicited or unauthorised advertising, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of solicitation
• Upload, post, or transmit any material that contains software viruses or any other computer code, files, or programs designed to interrupt, destroy, or limit the functionality of any computer software or hardware or telecommunications equipment
• Interfere with or disrupt the Platform or servers or networks connected to the Platform
• Attempt to gain unauthorised access to the Platform, other accounts, computer systems, or networks
• Use the Platform for any illegal or unauthorised purpose

5. Intellectual property & open data

5.1 Platform content

The Platform itself, including its design, layout, and underlying code, is the property of Circulab and is protected by copyright, trademark, and other intellectual property laws.

5.2 User content & open license

Content and data mapped by the community on Circulab (User Content) are shared under an open license – specifically, Creative Commons Attribution-ShareAlike 4.0 International (CC BY-SA 4.0) . This means that User Content can be shared and adapted by anyone, provided that appropriate credit is given and that adaptations are shared under the same terms.

5.3 Licensing grant

By submitting User Content to the Platform, you grant Circulab a non-exclusive, worldwide, perpetual, royalty-free, sublicensable licence to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content in connection with the Platform and Circulab's (and its successors' and affiliates') business, including without limitation for promoting and redistributing part or all of the Platform (and derivative works thereof).

5.4 Attribution

You retain ownership of your User Content. You will be credited for your contributions where reasonably possible, in accordance with the CC BY-SA 4.0 licence requirements.

6. Content moderation

6.1 Moderation rights

Circulab reserves the right, but has no obligation, to review, moderate, edit, or remove any User Content that, in our sole discretion, violates these Terms, is unlawful, or is otherwise objectionable. We may also remove content that is outdated or inaccurate.

6.2 Reporting

Users are encouraged to report any content that they believe violates these Terms by contacting us at info@circulab.pt.

6.3 Termination of accounts

Circulab reserves the right to suspend or terminate user accounts that repeatedly violate these Terms, engage in harmful behaviour, or for any other reason at our sole discretion. Users will be notified of such termination where possible.

7. Disclaimer of liability

7.1 "As is" basis

The Platform and all content and services provided through it are provided on an "as is" and "as available" basis. Circulab makes no representations or warranties of any kind, express or implied, regarding the operation or availability of the Platform, or the information, content, materials, or products included on the Platform.

7.2 Accuracy of user content

Circulab does not warrant that the User Content is accurate, complete, reliable, current, or error-free. Users rely on any information provided on the Platform at their own risk.

7.3 No guarantee of service

Circulab does not guarantee that the Platform will be uninterrupted, timely, secure, or free of bugs, errors, or viruses. We reserve the right to suspend or discontinue the Platform or any part thereof at any time without notice.

7.4 Third-party content

The Platform may contain links to third-party websites or services that are not owned or controlled by Circulab. Circulab has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that Circulab shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such third-party websites or services.

7.5 Limitation of liability

To the fullest extent permitted by applicable law, in no event shall Circulab be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your use or inability to use the Platform
• Any conduct or content of any third party on the Platform
• Any content obtained from the Platform
• Unauthorised access, use, or alteration of your transmissions or content

8. Indemnification

You agree to defend, indemnify, and hold harmless Circulab and its affiliates, partners, and employees from and against any and all claims, damages, costs, and expenses, including attorneys' fees, arising from or related to your use of the Platform, your violation of these Terms, or your violation of any rights of another person or entity.

9. Privacy & data protection

9.1 Privacy policy

Your privacy is important to us. The collection, use, and protection of your personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. You can read our Privacy Policy.

9.2 Data protection

Circulab processes personal data in accordance with the General Data Protection Regulation (GDPR) and applicable Portuguese data protection laws. By using the Platform, you consent to the processing of your data as described in the Privacy Policy.

10. Changes to terms

We reserve the right to update or modify these Terms at any time without prior notice. Changes will be effective immediately upon posting on this page. We encourage you to review these Terms periodically. Your continued use of the Platform following the posting of changes constitutes your acceptance of such changes.

If we make material changes to these Terms, we will make reasonable efforts to notify you via the email address associated with your account or through a notice on the Platform.

11. Governing law & dispute resolution

11.1 Governing law

These Terms shall be governed by and construed in accordance with the laws of Portugal, without regard to its conflict of law provisions.

11.2 Dispute resolution

Any dispute arising out of or relating to these Terms or your use of the Platform shall be submitted to the exclusive jurisdiction of the courts of Lisbon, Portugal, unless otherwise required by applicable law.

11.3 Informal resolution

Before initiating any formal legal proceedings, you agree to attempt to resolve any dispute informally by contacting Circulab at info@circulab.pt and providing a description of the dispute, your contact information, and any relevant documentation.

12. General provisions

12.1 Entire agreement

These Terms constitute the entire agreement between you and Circulab regarding your use of the Platform and supersede all prior agreements and understandings, whether written or oral.

12.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

12.3 Waiver

The failure of Circulab to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision or of any other rights or provisions.

12.4 Assignment

You may not assign or transfer these Terms or any of your rights or obligations hereunder without the prior written consent of Circulab. Circulab may freely assign these Terms.
